Republic Airways Holdings Inc. and Mesa Air Group, Inc. have successfully completed their merger, creating a significant new entity in the US regional aviation sector. The transaction, initially announced on April 7, 2025, received approval from Mesa stockholders on November 17, 2025. Under the merger terms, Republic stockholders now hold approximately 88% of the combined company's common stock, with Mesa stockholders owning between 6% and 12%, subject to final pre-closing obligations.

The newly combined Republic Airways Holdings Inc. now boasts the world's largest Embraer jet fleet, comprising 310 E-Jets, which support over 1,300 daily departures across its network. Republic Airways Inc. will continue its existing capacity purchase agreements (CPAs) with American Airlines, Delta Air Lines, and United Airlines. Notably, Mesa Airlines has secured a new 10-year CPA with United Airlines as part of this transaction, solidifying its long-term operational framework.

David Grizzle, CEO of Republic Airways, emphasized that the merger establishes a combined company dedicated to providing safe, clean, and reliable service, connecting communities across America. He highlighted the transaction's potential to create value for stakeholders and strengthen the regional aviation industry. The strategic rationale, as explained by Republic Airways President Matt Koscal, positions the merger as a natural progression for Republic, fostering growth, enhancing partnerships, and creating new career opportunities for its more than 8,000 aviation professionals.

Both Republic and Mesa share a strong legacy of regional airline operations, built on a foundation of professional pride and investment in their workforce. The cultural alignment between the two organizations is expected to support continued growth and success. While the combined company works towards consolidating operations into a single carrier, Republic and Mesa will maintain parallel operations. The merged entity now trades on the NASDAQ Global Select Market under the ticker RJET.
